I had a noncompete employment agreement with a public company. The agreement contained a clause that allowed them to assign the contract. The company was spun out and reconstituted as another public company with a new name. The company never notified me of the assignment to the new company but are now trying to enforce the terms as the new company. Did they need to formally notify me of the assignment for it to be legally assigned (they never did notify me of the assignment)? Also, I have left that company and if they are required to notify me can they do so even though I am no longer employed there?
