Our association had its annual meeting in January 2010. All Board positions expired at that meeting, and there was not a quorum present to legally elect a new board. Rather than holding another meeting to vote, the board chose to appoint new members.
The document on file at the registry of deeds states that all positions expired at the annual meeting, and no new certificate has yet been filed even though the members are different.
Does the appointed and not registered board have any legal authority?
